Coating Equipment Technology, Inc., a Michigan Corporation (also referred to as “Seller”) welcomes you to its website and/or online store. We ask that you read the following terms of use, which constitute a license that covers your use of this site and any transactions that you engage in through this site (agreement). By accessing, viewing, or using this site, you acknowledge that you have read, understand, and agree with these terms. If you do not wish to be bound by these terms, please do not use this site.

 

This website is provided solely for the use of current and future customers of Coating Equipment Technology, Inc. to provide you with information about our company, to permit you to place orders for our products and services, and to enable you to contact us with any questions or comments that you may have. Any other use of this site is prohibited, including without limitation the following examples: You should not use any features of this site, including third party review forums, that permit communications or postings to post, transmit, display, or otherwise communicate any defamatory, threatening, obscene, harassing, or otherwise unlawful information; unauthorized use or disclosure of private, personally identifiable information of others; or copy, post or reuse any materials subject to trademark, copyright, or other laws protecting any materials or data of Coating Equipment Technology, Inc. or the protected brands or trade dress of others shown on this site in the absence of a valid license or other right to do so.

 

These Terms and Conditions of Sale define the relationship the Buyer or User of this site and Coating Equipment Technology, Inc. and apply to all sales of equipment, parts, supplies, materials, or other personal property (individually and collectively, “Equipment”). Buyer acknowledges and agrees that these Terms and Conditions of Sale are incorporated in, and are a part of, each quotation, purchase order, invoice, release, requisition, work order, shipping instruction, specification, and any other document, whether expressed verbally, in written form or electronic commerce, relating to the sale of Equipment by Coating Equipment Technology, Inc. to Buyer. Buyer acknowledges and agrees that any circumstances arising out of this agreement, not contemplated by either party at the time of the transaction, are to be governed by Article 2 of the Uniform Commercial Code, as applied in the State of Michigan, and agree that this is a Contract for the Sale of Goods.

The information contained on this site, including all images, designs, photographs, writings, graphs, data, and other materials (Materials) are the property of Coating Equipment Technology, Inc. and are protected by copyrights, trademarks, trade secrets, or other proprietary rights. You shall comply with all copyright laws worldwide in your use of this website and prevent unauthorized copying of the Contents. Coating Equipment Technology, Inc. does not grant you any express or implied right in or under any patents, trademarks, copyrights, or trade secret information.

Pricing and Payment

Prices for Equipment and other related information shown in any Seller or manufacturer product publication, including but not limited to catalogs, brochures, and Web sites, are subject to change without notice; the most current price is reflected on this site in real time. Prices do not include related freight charges, use tax, sales tax, excise tax, value-added tax, or similar taxes, or charges of any nature whatsoever imposed by any governmental authority unless otherwise expressly noted by Coating Equipment Technology, Inc. Unless alternate provisions are preapproved, payment for purchases made via the online store and/or website shall be made with immediately available funds. The minimum purchase amount is $35.00 USD. Any order less than the minimum amount is subject to a processing fee equal to the amount required to meet the $35.00 USD minimum order requirement. As security for payment of all amounts due to Coating Equipment Technology, Inc., Buyer grants to Coating Equipment Technology, Inc. a security interest in all Equipment sold to Buyer, and Coating Equipment Technology, Inc. will have all rights of a secured party under the Uniform Commercial Code with respect to the Equipment.

Limited Warranty—Disclaimer of Warranties

You expressly agree that use of this website is at your sole risk. Neither Coating Equipment Technology, Inc., its affiliates, nor any of their officers, directors, employees, agents, third-party content providers, or licensors warrant that this site will be uninterrupted or error-free; nor do they make any warranty as to the results that may be obtained from the use of this site, or as to the accuracy, completeness, reliability, security, or currency of the Materials.

 

The Materials may contain errors, omissions, inaccuracies, or outdated information. Further, Coating Equipment Technology, Inc. does not warrant reliability of any statement or other information displayed or distributed through the site. Coating Equipment Technology, Inc. reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the site. Coating Equipment Technology, Inc. may make any other changes to this site, the Materials and the products, programs, services, or prices (if any) described in this site at any time without notice.

 

The warranty obligations of Coating Equipment Technology, Inc., as Seller for Equipment sold will in all respects conform and be limited to the warranty extended by the manufacturer of the Equipment, if transferable. The sole remedy available to Buyer with respect to defects in the Equipment will be against the manufacturer under any applicable manufacturer’s warranty to the extent available to Buyer.

 

THIS SITE AND THE INFORMATION, CONTENT, AND MATERIALS ON THIS SITE ARE PROVIDED ON AN “AS IS,” “WHERE IS,” AND “WHERE AVAILABLE” BASIS. TO THE EXTENT THE MANUFACTURER WARRANTY IS NOT TRANSFERABLE TO BUYER, SELLER MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO OR IN ANY WAY RELATING TO THE EQUIPMENT, WHETHER BASED ON BREACH OF WARRANTY OR CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT WILL SELLER BE LIABLE OR RESPONSIBLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR EXPENSE OCCASIONED BY THE USE OF DEFECTIVE EQUIPMENT. BUYER ASSUMES FULL RESPONSIBILITY THAT THE EQUIPMENT PURCHASED UNDER THE AGREEMENT MEETS THE SPECIFICATIONS AND/OR INTENDED USE OF BUYER, AND SELLER MAKES NO REPRESENTATION WITH RESPECT TO THEM. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO THE EXTENT SUCH JURISDICTION’S LAW APPLIES TO THIS AGREEMENT.

 

Delivery, Transfer of Title, Risk of Loss

Any delivery dates or other schedule of performance by Seller are approximations, and the sole obligation of Seller with respect to the schedule of delivery or performance will be to use commercially reasonable efforts to deliver the Equipment, or otherwise to perform, consistent with the reasonable demands of its business. In any event, Seller will have no liability to Buyer or any other person for delays in performance due to strikes or labor disputes of any type; accidents, fire, floods, acts of God, or actions by governmental authorities; acts, omissions, or delays of Buyer or any other third party; shortages of labor; or without limitation of the above, for any causes reasonably beyond the control of Seller. Buyer will be responsible for all additional delivery charges if incurred by the Seller. Example: Residential delivery when Commercial is stated, Re-Delivery Fees, or “Inside” delivery fees. Title to and risk of loss or damage to the Equipment will pass to Buyer on delivery by Seller F.O.B. to Seller’s facility, or Seller’s supplier’s facility when Equipment is shipped directly from the manufacturer.

 

Buyer will have48 hours from the date of (arrival) delivery to inspect the Equipment for defects and nonconformance and to notify Seller, in writing, of any defects, nonconformance, or rejection of the Equipment (other than defects or nonconformities due to damage, shortage, or errors in shipping that will be reported as set forth below). Claims for shipping damage, errors, or shortages must be made in writing to Seller no more than five days after receipt of shipment. After this period, Buyer will be deemed to have irrevocably accepted the Equipment, if not previously accepted. After acceptance, Buyer will have no right to reject the Equipment for any reason or revoke acceptance. Claims for damage due to shipping must be made by Buyer to the freight carrier.

Returns and Cancellations

All returns will be pursuant to Seller’s instructions. Buyer must contact Seller for a Return Authorization (RA) form before returning any Equipment. Buyer acknowledges that special order equipment and purchases under $35.00 USD not returnable. All returns must reference the RA number along with the original invoice number and the reason for return. Non-warranty returns of standard parts that are unused and are in resalable condition will be subject to Seller’s return policies in effect at the time, including applicable restocking (25%) and transportation charges and other conditions of return.

Technical Support

This Agreement does not include any services of Seller in connection with installation, testing, or evaluation of the Equipment unless expressly described in alternate or supporting documentation. The rates of Technician’s vary by skill set and Seller should inquire as to the type of support needed and the cost of such support.

Export Control

Equipment supplied by Coating Equipment Technology, Inc. may be subject to various export laws and regulations. It is the responsibility of the exporter to comply with all laws and regulations. Notwithstanding any other provision to the contrary, if federal, state, or local law requires export authorization for the export or re-export of any Equipment or associated technology, no delivery can be made until export authorization is obtained, regardless of any otherwise promised delivery date. If any required export authorization is denied, Seller and Seller’s supplier will be relieved of any further obligation relative to the sale and delivery of the Equipment subject to denial without liability of any kind relative to Buyer or any other party. Seller will not comply with boycott-related requests except to the extent permitted by federal law and then only at Seller’s discretion.

Privacy Policy and Cookies

Your privacy is very important to us. Part of our operation of this website involves the collection and use of information about you. In general, you can visit this website without identifying who you are or revealing any information about yourself. Information collected online can generally be categorized as anonymous or personally identifiable. Anonymous information is information that cannot be connected to the identity of a specific individual. Coating Equipment Technology, Inc. may collect information about sales through this site for the assembly and maintenance of Customer lists and sales records. Customer lists, sales records and other similar related information are properly considered assets of a business. Accordingly, if we merge with another entity or if we sell our assets to another entity, our customer lists and information, including personally identifiable information you have provided us, would be included among the assets that would be transferred.

Controlling Law, Jurisdiction, International Users

This Agreement is governed by and shall be construed in accordance with the laws of the State of Michigan, U.S.A., without reference to its conflict-of-law provisions. Coating Equipment Technology, Inc.makes no representation that the materials are appropriate or available for use outside the United States. If you access this site from outside the United States, you will be responsible for compliance with all local laws. You agree to comply with all laws and regulations applicable to your use of this site. You agree to submit to the personal and exclusive jurisdiction of the state or federal courts located within Macomb County, Michigan for any disputes with Coating Equipment Technology, Inc. arising out of your use of this site.
